Approach Abu Dhabi IPOs with a prospectus-first process

New listings can be important market events, but demand headlines are not a substitute for understanding the issuer, offer structure, proceeds, governance, and price.

Prepare the operational requirements

Each offer publishes its own eligibility, tranches, subscription channels, minimums, payment process, deadlines, allocation, and refund terms. A valid investor number and suitable bank arrangement are often central. Complete identity and bank checks early and use only the official portal or receiving channel stated in the offer documents.

Read the prospectus in the right order

  1. Issuer and security being offered.
  2. Risk factors and material dependencies.
  3. Historical financial statements and cash flow.
  4. Use of proceeds and selling-shareholder component.
  5. Post-offer ownership, governance, free float, and lock-ups.
  6. Dividend policy and the conditions that limit it.
  7. Offer price, valuation, allocation, and refund mechanics.

Separate primary and secondary proceeds

Primary shares raise cash for the company; secondary shares transfer ownership and send proceeds to selling holders. A combined offer can do both. The distinction matters when assessing balance-sheet improvement, expansion funding, and insider incentives.

Value before subscribing

Estimate post-offer equity and enterprise value, normalize earnings carefully, and compare with relevant listed peers. Model a downside case with slower growth, lower margins, or higher capital needs. An attractive company can still be an unattractive IPO when the offer price assumes near-perfect execution.

Treat allocation and first-day trading as separate decisions

Oversubscription can lead to scaled allocations and does not guarantee a gain. After listing, the market price may differ materially from the offer. Buying additional shares is a new decision that requires a fresh valuation and position-size check. Track the first results and governance decisions after listing, not only the first session.
